1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Elite Models Agency ("Company," "we," "us," or "our") regarding your access to and use of the vip-allure.com website and our professional modeling services.

By accessing, browsing, or using our Site or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Site or services.

2. Eligibility and Account Registration

To use our services, you must:

• Be at least 18 years of age or have parental/guardian consent
• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.

3. Services Description

Elite Models Agency provides professional modeling services including:

• Runway model bookings for fashion shows and events
• Editorial photo shoot models for magazines and publications
• Commercial campaign models for advertising projects
• Brand ambassador programs for long-term partnerships
• Social media influencer models for digital campaigns

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. Service descriptions, pricing, and availability are subject to change.

4. Booking and Payment Terms

4.1 Booking Process

• All bookings are subject to model availability and our approval
• Booking requests do not guarantee confirmation until you receive written confirmation from us
• We reserve the right to refuse service to anyone for any lawful reason
• Prices listed on our Site are in USD unless otherwise stated

4.2 Payment

• Payment is due at the time of booking unless otherwise agreed in writing
• We accept major credit cards and other payment methods as displayed on our Site
• All payments are processed securely through third-party payment processors
• You agree to pay all charges incurred by you or on your behalf through our Site
• Prices do not include applicable taxes, which will be added to your total as required by law

5. Cancellation and Rescheduling

5.1 Client Cancellations

• Cancellations made more than 14 days before the scheduled service date: Full refund minus 10% administrative fee
• Cancellations made 7-14 days before the scheduled date: 50% refund
• Cancellations made less than 7 days before the scheduled date: No refund
• Failure to appear for scheduled services results in forfeiture of all payments

5.2 Company Cancellations

We reserve the right to cancel services due to unforeseen circumstances, including model illness, emergency, or force majeure events. In such cases, we will provide a full refund or reschedule at no additional cost.

5.3 Rescheduling

Rescheduling requests must be made at least 7 days before the scheduled date and are subject to availability. One complimentary reschedule is permitted; subsequent changes may incur fees.

6. Client Responsibilities

As a client booking our services, you agree to:

• Provide accurate project details, timelines, and requirements
• Ensure a safe, professional working environment for our models
• Treat our models and staff with respect and professionalism
• Comply with all applicable laws and regulations during services
• Provide necessary permits, permissions, and authorizations for shoots or events
• Not request models to perform services outside the scope of the booking
• Ensure adequate facilities, including appropriate changing areas and breaks

7. Usage Rights and Intellectual Property

7.1 Image and Content Rights

• Usage rights are specified in individual service agreements
• Default license includes specified platforms and duration as agreed
• Extended usage rights or exclusivity must be negotiated separately
• Images may not be altered in ways that misrepresent the model or our brand
• Models retain rights to use images for their portfolios unless exclusivity is purchased

7.2 Company Intellectual Property

All content on our Site, including text, graphics, logos, images, and software, is the property of Elite Models Agency or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

8. Prohibited Conduct

You agree not to:

• Use our services for any unlawful or prohibited purpose
• Harass, abuse, or harm our models or staff
• Request or engage in inappropriate behavior
• Attempt to circumvent our booking system or fees
• Scrape, copy, or harvest data from our Site
• Interfere with the proper functioning of our Site or services
• Impersonate any person or entity
• Upload viruses or malicious code
• Use our services to compete with us or for commercial purposes not agreed upon

9. Liability and Disclaimers

9.1 Service Warranty

We strive to provide professional, high-quality services but make no warranties regarding specific outcomes or results. Services are provided "as is" and "as available."

9.2 Limitation of Liability

To the maximum extent permitted by law, Elite Models Agency shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from force majeure events, acts of third parties, or circumstances beyond our reasonable control

Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.

9.3 Indemnification

You agree to indemnify, defend, and hold harmless Elite Models Agency, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services, violation of these Terms, or infringement of any rights of another party.

10. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or technical failures.

11. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of service delivery. This includes project details, pricing information, and business strategies. Non-disclosure agreements may be required for sensitive projects.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions.

12.2 Arbitration

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Hong Kong, rather than in court, except that you may assert claims in small claims court if they qualify.

12.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions or representative proceedings.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our Site. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. Material changes will be communicated via email or prominent Site notice.

14. Termination

We may suspend or terminate your access to our Site or services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination shall remain in effect.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Elite Models Agency regarding your use of our services and supersede all prior agreements and understandings.

18. Acknowledgment
